1. Who we are and these terms
Origination Vehicle (the "Service") is operated by HYKT PTE. LTD., a company incorporated in Singapore (UEN 202600265K) ("HYKT", "we", "us"). These Terms of Service ("Terms") govern your access to and use of the Service, including the website, the database, the analytics, and the AI connector.
By creating an account, signing in, generating an access key or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of a company or other organisation, you confirm that you are authorised to bind it, and "you" includes that organisation. If you do not agree, do not use the Service.
2. The Service
The Service is a deal-origination platform for professional users. It currently includes:
- a searchable directory of companies, investors and grant-funded organisations compiled from public and third-party sources (including the EU-Startups directory, the European Innovation Council portfolio, the European Union's CORDIS database and UK Research and Innovation / Innovate UK open data);
- market maps, sector analytics and investor-matching scores;
- a shared pipeline in which members of a workspace can save candidate companies;
- precedent-transaction tools and a deal library; and
- an AI connector that lets an AI assistant you use (for example Claude or ChatGPT) call the Service's tools on your behalf.
We may add, change, limit or remove features at any time. We aim to keep the Service available but do not guarantee uninterrupted or error-free operation.
3. Accounts and eligibility
- The Service is for business and professional use only. You must be at least 18 years old and able to enter into a binding contract.
- Give accurate registration details and keep them up to date. Each account is for one named individual. Do not share your login or let anyone else use your account.
- Access may require approval, a trial, or a paid subscription. We may decline, limit or withdraw access at our discretion, including to accounts that appear to be duplicates, automated or in breach of these Terms.
- You are responsible for everything done through your account and your access keys. Tell us immediately at hykt.partners@gmail.com if you suspect unauthorised use.
4. Trials, subscriptions and fees
Some or all of the Service may be offered on a free trial or paid subscription basis. Where we charge fees:
- the price, billing period, included usage and any trial length will be shown before you subscribe;
- subscriptions renew automatically for the same period unless you cancel before the renewal date; cancellation takes effect at the end of the current period;
- at the end of a trial, access ends unless you subscribe;
- fees are non-refundable except where required by law or stated otherwise at purchase; and fees exclude taxes, which you are responsible for;
- we may change prices for future billing periods with at least 30 days' notice.
5. Your licence and acceptable use
Subject to these Terms and any applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access the Service and use its content for your internal business purposes, such as identifying, researching and contacting potential targets, investors and buyers.
You must not, and must not help anyone else to:
- scrape, crawl, bulk-download, systematically copy or otherwise extract all or a substantial part of the database, whether by hand, script, bot, AI agent or any other means, or try to reconstruct it through repeated queries;
- exceed, circumvent or test the limits on the number of records or requests, for example by using multiple accounts or keys;
- sell, sublicense, publish, redistribute or provide the Service or its content to third parties, or use it to build or improve a competing product or dataset;
- share your access keys, or connect the AI connector to a tool or service used by people outside your own account;
- attempt to obtain the Service's internal instructions, research briefs, scoring logic, source code or underlying data structures other than through the normal operation of the tools, or reverse-engineer, decompile or probe the Service's security;
- use the Service for unlawful purposes, including sending unsolicited marketing in breach of applicable anti-spam or data protection laws, or contacting individuals in a way that is not relevant and proportionate to their professional role;
- upload or submit material that is unlawful, infringing, misleading or malicious.
Limited extracts (for example a shortlist of companies in a client memo or pitch) are permitted for your internal business purposes, provided you do not republish the database or a substantial part of it.
6. The AI connector
- Access keys. You can generate personal access keys to connect an AI assistant to the Service. Treat each key like a password. You can revoke a key at any time on the Precedents page, and we may revoke keys that are misused.
- Your AI provider. Your AI assistant is provided by a third party (such as Anthropic or OpenAI) under your own agreement with them. You are responsible for that agreement, for any fees it charges, and for the information you share with it. Information the Service returns to your AI assistant is processed by that provider under its terms.
- How it works. The Service provides your AI assistant with tools, research instructions and data. Web research is carried out by your AI assistant using your own account. The Service checks and formats what your assistant sends back and returns a report.
- What we keep. We log usage (which tool, when, request parameters such as the sector searched) to run the Service, enforce limits and prevent abuse. Precedent-transaction results that members submit through the connector are processed to produce your report and are not added to our deal library.
- Limits. Each request returns a limited number of records (currently up to 15) and daily allowances apply. We may change these limits.
- AI output. AI-generated content can be inaccurate or incomplete, including figures your assistant finds on the web. Section 7 applies to all such output.
7. Information only — no advice
- Data comes from public registers, third-party websites and AI-assisted research. It may be incomplete, out of date, wrongly matched between sources, or wrong. Sector tags, matches between lists, consultancy flags, investor-fit scores and confidence ratings are automated estimates.
- Transaction multiples are recomputed from disclosed figures where available, may rely on figures stated by third parties, and use approximate exchange rates.
- You must verify any information independently before relying on it, and you are solely responsible for your decisions and for how you use the information, including any outreach to companies or individuals.
8. Third-party sources and attributions
Parts of the database are derived from third-party and public-sector sources, each of which remains subject to its own terms. In particular:
- EU research and innovation project data: © European Union, CORDIS — reused under the Creative Commons Attribution 4.0 International licence (CC BY 4.0). The data has been processed and combined with other sources.
- Innovate UK grant data: contains public sector information licensed under the Open Government Licence v3.0.
- European Innovation Council portfolio information: © European Union, reused in accordance with the European Commission's reuse policy.
- Company and investor directory information from EU-Startups and other publicly available sources.
Links to third-party websites are provided for convenience; we are not responsible for their content or availability. None of these sources endorses the Service.
9. Intellectual property
The Service, including its software, design, compilation, selection, arrangement, enrichment and scoring of data, research instructions and reports, is owned by HYKT or its licensors and protected by copyright, database and other rights. Except for the licence in Section 5, no rights are granted to you. If you send us feedback or suggestions, we may use them without obligation to you.
You keep any rights you have in content you add to the Service (such as pipeline notes). You grant us a licence to host and process that content to provide the Service to you and your workspace.
10. Suspension and termination
You may stop using the Service and ask us to close your account at any time. We may suspend or terminate your access, or revoke access keys, immediately and without liability if we reasonably believe you have breached these Terms, if required by law, or to protect the Service, other users or third parties. Sections 5 (restrictions), 7, 9, 11, 12, 13 and 15 survive termination.
11. Disclaimers
To the fullest extent permitted by law, the Service and all content are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose and non-infringement.
12. Limitation of liability
To the fullest extent permitted by law:
- HYKT is not liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profits, revenue, business, opportunity, goodwill or data, arising out of or in connection with the Service, even if advised of the possibility;
- HYKT's total liability arising out of or in connection with the Service or these Terms is limited to the greater of (a) the fees you paid us for the Service in the 12 months before the event giving rise to the claim and (b) SGD 100.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, such as liability for fraud or for death or personal injury caused by negligence.
13. Indemnity
You will indemnify HYKT against claims, losses and costs (including reasonable legal fees) arising from your breach of these Terms or your use of information obtained through the Service, including any outreach you make to companies or individuals.
14. Changes to these terms
We may update these Terms from time to time. We will post the new version on this page and change the "last updated" date. For material changes we will give reasonable notice, for example by email or in the Service. Continuing to use the Service after the changes take effect means you accept them.
15. Governing law and disputes
These Terms and any dispute arising out of or in connection with them or the Service are governed by the laws of Singapore. The courts of Singapore have exclusive jurisdiction, except that we may seek urgent injunctive relief in any competent court.
16. General
If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganisation, merger or sale of the business. These Terms, together with any order or subscription terms shown at purchase and our Privacy Policy, are the entire agreement between you and us about the Service.
